These Terms of Service ("Terms") are entered into between you (the enrolled brokerage) and ReAIState LLC, a Wyoming limited liability company with its principal address at 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("ReAIstate", "we", "us", or "our"), and govern your use of reaistate.com and the ReAIstate insights infrastructure for real estate brokerages ("Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
ReAIstate provides insights infrastructure for real estate brokerages. The Service reads brokerage communications and listing content and produces three insights: (a) compliance monitoring, violation detection and an evidence ledger, which scan content against a compliance rule engine covering fair housing law, advertising regulations, agency disclosure requirements, and other applicable real estate regulations across multiple US jurisdictions; (b) Opportunity, which detects client opportunities in incoming communications and alerts agents, for brokerages that enable it; and (c) Performance, which calculates agent performance measures for the brokerage's leadership from opportunity and compliance records and, for brokerages that enable reply-timing measures, from message timing metadata.
The Service provides monitoring, flagging, and documentation. It does not provide legal advice. Scan results and compliance flags are informational outputs intended to assist designated brokers in identifying potential compliance issues — they are not legal determinations. You should consult a licensed attorney for legal advice regarding your compliance obligations.
The Service is available to licensed real estate brokerages and their designated brokers operating in the United States. By using the Service, you represent that you are authorized to bind your brokerage to these Terms.
As a brokerage using the Service, you are responsible for:
— Ensuring you have appropriate authorization to submit agent communications for analysis by the Service
— Reviewing and acting on compliance flags identified by the Service — the Service identifies potential violations; the designated broker makes compliance decisions
— Maintaining accurate brokerage and agent information in your account
— Keeping your login credentials secure
— Complying with all applicable laws and regulations governing your brokerage operations
— Informing your agents that their communications are analyzed by the Service
— Using Performance information lawfully and fairly, including under applicable employment and independent-contractor law
By enabling Opportunity, a brokerage confirms it has appropriate authorization to process inbound client and third-party email replies for the purpose of opportunity detection, separate and apart from the compliance monitoring described elsewhere in these Terms.
The ReAIstate compliance engine scans content against a rule set covering 250+ rules across 13 jurisdiction packs in 12 US states. This coverage is not exhaustive. The Service:
— Does not guarantee detection of all compliance violations
— Does not constitute legal advice or create an attorney-client relationship
— Does not replace the judgment of a licensed attorney or compliance professional
— May not reflect the most recent regulatory changes in every jurisdiction at all times
Use of the Service does not guarantee regulatory compliance or immunity from enforcement action. The evidence ledger produced by the Service may support your legal defensibility but does not guarantee any particular legal outcome.
Opportunity and Performance outputs are informational. They are derived from recorded activity and agent-reported actions, do not predict or guarantee business outcomes, and are not an evaluation of any person's licensing, employment or contractor status.
By submitting communications and listing content to the Service, you grant ReAIstate a limited license to process that content solely for the purpose of providing the Service, including compliance scanning, the evidence ledger, Opportunity and Performance. We do not claim ownership of your content. Our data practices are described in the Privacy Policy at reaistate.com/privacy.
We treat all brokerage communications, scan results, and compliance data as confidential. We will not disclose your brokerage's compliance data to third parties except: (a) as required by law, (b) with your explicit written consent, or (c) to our service providers under confidentiality obligations as described in the Privacy Policy.
You may not use the Service to:
— Submit content that violates applicable law
— Attempt to reverse-engineer or extract the compliance rule engine
— Circumvent or disable any security features of the Service
— Use scan results, Opportunity or Performance outputs to facilitate discrimination against any protected class
We aim to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide notice of planned downtime where reasonably practicable.
Each plan includes a monthly pool of reads, shared across your brokerage's agents. A read is one standard message analyzed by the Service; longer messages count as additional reads. The pool resets each month. We will notify you as your usage approaches your plan's pool. Volume beyond the pool, and Enterprise plans, are available by agreement.
Usage limits and pauses. We send notices to your brokerage's owner and compliance officer, at the addresses on file, as usage approaches your plan's monthly pool of reads and when it is reached, and the Service shows the status to those users. When usage reaches the pool, we may pause optional analysis, including Opportunity and pattern summaries, until more reads are added or the pool resets. Compliance scanning may continue for a grace margin above the pool, currently up to 110 percent of the pool; above that, new messages may be queued and are analyzed when more reads are added or the pool resets. Queued email content that has not been processed is deleted after 72 hours, as described in our Privacy Policy. During a pause, and for any queued content that expires before it is analyzed, the Service does not analyze those communications and our records will not include analysis of them. Your brokerage's supervision responsibilities are unchanged, and the absence of a finding for those communications does not mean they were reviewed or found compliant. Performance measures that depend on paused analysis may not update during a pause. We may add reads at your request, and where your agreement provides for billing of additional reads, analysis continues and the additional reads are billed as provided in that agreement.
To the maximum extent permitted by applicable law, ReAIState LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including any compliance decisions made in reliance on scan results. Our total liability for any claim arising from use of the Service is limited to the fees you paid for the Service in the three months preceding the claim.
The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Service will identify all compliance violations, that scan results are legally accurate, or that use of the Service will result in compliance with any particular regulation.
We may update these Terms from time to time. We will notify enrolled brokerages of material changes by email at least 30 days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance.
